KMK Law has launched a multi-disciplinary Coronavirus COVID-19 Response Team dedicated to providing a comprehensive and coordinated response to issues that our clients are facing now and may face in the near future.

  • Business Representations & Transactions: Force majeure and other relevant clauses in commercial contracts and financing documents, SBA disaster loans, public company issues including disclosures regarding risk factors and earnings guidance; shareholder meetings and investor relations issues, evaluation of MAE/default notices and claims under M&A agreements, commercial contracts and financing documents.
  • Cybersecurity & Privacy: Policies and data security practices for mobile and remote working; protection of personal information; compliance with privacy laws.

  • Litigation: COVID-related contract disputes and strategies for resolutions with customers and suppliers.
  • Private Client Services: Trust and Estate planning, medical powers of attorney, emergency family business planning.
  • Real Estate & Loan Transactions:  Application and evaluation of the impacts of force majeure, failure of performance, co-tenancy and occupancy provisions, liquidated damage, default provisions and other relevant clauses in property purchase agreements, lease agreements, architectural agreements, construction contracts, loan and mortgage documents, escrow agreements, and other commercial transaction documents, including the potential for SBA disaster loans arising out of the COVID-19 pandemic as this program is rolled out in Ohio.
