Biography
David serves as outside corporate counsel for growth-stage companies, guiding management teams in building governance and corporate structures designed to support long-term growth and success. His practice centers on corporate and securities law, with a practical focus that helps companies navigate all stages of their development.
David advises private companies across a broad range of transactions, including equity and debt financings, strategic corporate relationships, joint ventures, and mergers and acquisitions. He also counsels boards of directors and management teams on corporate governance and compliance.
In addition to his company-side work, David also maintains an active investor-side practice, representing a diverse range of investors deploying capital into innovative technology and healthcare businesses. David’s clients represent a broad cross-section of industries, including software, life sciences and healthcare, fintech, and digital media.
Beyond his corporate transactional work, David serves as counsel to the trustees of significant trusts on a broad array of corporate matters. This includes advising on governance obligations, structuring investments held within trust portfolios, and ensuring trustees are well-positioned to meet their fiduciary duties in an evolving regulatory and business environment.
