KMK Law Elects Four New Partners

The Cincinnati law firm of Keating Muething & Klekamp PLL (KMK Law®) is pleased to announce that it has elected four new partners: Ross J. Bextermueller, Antoinette L. Schindel, Nicholas L. Simon, and P. Andrew Spoor.

RRoss J. Bextermuelleross J. Bextermueller practices in KMK Law’s Business Representation & Transactions Group.  Bextermueller has significant experience advising public and private companies and private equity firms in all aspects of mergers and acquisitions.  Bextermueller also has experience with corporate governance matters, joint-ventures, spin-offs, and venture capital investments as well as advising clients on import and export regulations and economic sanctions affecting international commercial activity.  Bextermueller earned his M.B.A. from Saint Louis University in 2008 and his B.S. from Saint Louis University, summa cum laude, in 2006.  He earned his J.D. from the University of Cincinnati College of Law, cum laude, in 2011.  Bextermueller is licensed to practice in Kentucky and Ohio. 

Antoinette L. SchindelAntoinette L. Schindel practices in KMK Law’s Employee Benefits and Executive Compensation Group. Schindel regularly advises employers regarding Affordable Care Act (ACA) compliance issues, including health coverage and reporting requirements, and counsels clients on strategies to minimize or avoid penalties under the “pay or play” mandate. Schindel also assists clients with respect to HIPAA privacy and security, COBRA compliance, wellness program implementation and various other welfare benefit matters. Schindel’s practice also includes advising companies on the implementation and operation of tax-qualified profit-sharing and pension plans in the private and public sector, including 401(k), 403(b) and 457(b) plans. In addition, Schindel advises clients regarding benefit matters that arise in corporate transactions and in matters involving the IRS, the DOL, and the PBGC. Previously, Schindel practiced labor and employment law in New York. Schindel earned her LL.M. from the Washington University School of Law in 2011 and her J.D. from the Benjamin N. Cardozo School of Law, Yeshiva University in 2003. She earned her B.A. from Columbia University. Schindel is licensed to practice in New York and Ohio.

Nicholas L. SimonNicholas L. Simon practices in KMK Law’s Business Representation & Transactions Group and advises companies, financial institutions, and investors in corporate, finance and commercial transactions. Simon’s experience includes advising borrowers and lenders in a variety of financing transactions, including acquisition financings, syndicated and bilateral facilities, stadium financings, secured and unsecured credit facilities, and securitized, factoring and supply chain financing facilities. He also has extensive experience advising companies, investors, and private equity funds in a variety of mergers and acquisitions, strategic investments, and equity financings, from large public and private company acquisitions to smaller non-controlling investments and asset divestitures. Simon has represented numerous clients in the sports industry, including leagues, teams, owners, and college conferences in a range of matters, including mergers and acquisitions, stadium and team debt financing, equity financings, media, apparel, naming rights, sponsorship and other commercial matters. Prior to joining KMK Law, Simon was an associate at Covington & Burling LLP in Washington, D.C. where he advised clients on a range of corporate and finance transactions. Following law school, Simon served as a law clerk to the Hon. Karen K. Caldwell of the United States District Court for the Eastern District of Kentucky. Simon earned his J.D. from the Duke University School of Law, magna cum laude, in 2011 and his B.A. from Wake Forest University, magna cum laude, in 2007. Simon is licensed to practice in Ohio, New York and the District of Columbia.

P. Andrew SpoorP. Andrew Spoor practices in KMK Law’s Real Estate Group, with an emphasis on law related to the financing of real estate and industrial developments. Spoor's practice is concentrated in the areas of municipal tax-exempt and taxable bond financing, as well as tax incentive and economic development programs. He has experience with several governmental incentive programs, including port authority financing options and Ohio’s job creation tax credit program. Spoor also practices in the field of letter of credit and government banking law, advising banks in addressing the financing needs of local governments. Spoor earned his J.D. from the University of Cincinnati College of Law, summa cum laude, in 2008 and his B.A. from Thomas More College, summa cum laude, in 2005. Spoor is licensed to practice in Ohio.
