Biography

Julie Muething is co-leader of the firm's Business Representation & Transactions Group. She is an experienced transactional attorney primarily focusing on representing public and private companies and private equity funds in domestic and international commercial arrangements, joint ventures, recapitalizations, mergers, acquisitions and divestitures; and business formation, organization, reorganization and capitalization matters. Julie regularly counsels clients on various corporate and business matters, negotiation of key contracts, and developing strategies to address their current circumstances and future goals.

Julie also maintains a commercial finance practice, regularly advising lenders, borrowers, and investors in a variety of debt and equity financing transactions.

Julie was selected for inclusion in The Best Lawyers in America, 2020-2023 Corporate Law and Mergers & Acquisitions Law and was named to Ohio Rising Stars, 2017-2020.

Prior to attending law school, Julie taught first grade for three years at F.L. Stanton Elementary School in Atlanta, Georgia, with the Teach for America program. Julie is a former Adjunct Professor at the University of Cincinnati College of Law.

Julie serves as Co-Chair of the firm’s Hiring Committee.

Representation of American Financial Group, Inc. in its $3.5 billion divestiture of its annuity business to Massachusetts Mutual Life Insurance Company.

Representation of Fortune 500 client in acquisitions ranging from $100,000 to $2.2 billion in the industrial uniform rental, first aid and safety, restroom supply, facilities services, document management and fire protection service industries.

Representation of Multi-Color Corporation in its $1.4 billion acquisition of the Labels Division of Constantia Flexibles, comprised of 23 manufacturing facilities in 14 countries.

Representation of private company in the consumer goods industry in recapitalization of the company, redemption of existing majority member and negotiation of investment terms for new members.

Representation of a private equity fund in the acquisition of a private company that provides reusable plastic containers to grocery retailers.

Representation of private company with operations in over 25 countries in connection with a global reorganization and entity simplification project.

Representation of job creation lenders in over 75 secured term loans to business in Ohio.

Representation of borrower in negotiation of $500 million senior revolving credit facility.

Representation of Cintas Corporation in connection with a joint venture with Shred-it International Inc. to combine their document shredding and paper recycling businesses into a combined entity with annual revenues in excess of $600 million and operations in seventeen countries.

Representation of American Financial Group, Inc. in connection with the acquisition of Summit Holdings Southeast Inc. and its related companies from Liberty Mutual Insurance for approximately $250 million.
