D. Brock Denton

Partner

Brock Denton is co-leader of the firm's Business Representation & Transactions Group. His practice primarily focuses on representing businesses, investors and entrepreneurs in strategic transactions including mergers and acquisitions, joint ventures, strategic investments, private equity and venture capital transactions. Brock regularly advises board of directors and senior management of public and privately held companies on a variety of corporate and other matters.

Brock formerly served as Chairman of the Hiring Committee and as a member of the Diversity Committee.

Representative Matters

  • Representation of public corporation in the acquisition of more than 300 domestic and international companies in the industrial uniform rental, first aid and safety, restroom supply, facilities services, document management and fire protection service industries
  • Representation of public corporation in the divestiture of more than fifty funeral homes and cemeteries located throughout the United States
  • Representation of Cintas Corporation in connection with a joint venture with Shred-it International Inc. to combine their document shredding and paper recycling businesses into a combined entity with annual revenues in excess of $600 million and operations in seventeen countries
  • Representation of Cintas Corporation in connection with the sale of its investment in Shred-It International Inc. to Stericycle, Inc. for $2.3 billion
  • Representation of American Financial Group, Inc. in connection with the acquisition of Summit Holdings Southeast Inc. and its related companies from Liberty Mutual Insurance for approximately $250 million
  • Representation of Cintas Corporation in connection with the divestiture of its document storage and imaging business to Access CIG, LLC
  • Representation of Cintas Corporation in connection with the acquisition of certain assets of Coyne Textile Services under Section 363 of the U.S. Bankruptcy Code
  • Representation of a private equity fund in the acquisition of a private corporation that provides executive recruiting services to Fortune 500 clients
  • Representation of public corporation in the acquisition of the Phase II clinical services business of an international corporation
  • Representation of a private equity fund in the acquisition of a private corporation that provides customized supply chain management and innovation through providing specialized containers in the food, beverage and retail industries
  • Representation of a private equity fund in the acquisition of a private corporation that provides funeral stationary and memorialization products to the funeral home industry
  • Representation of numerous public and private corporations in the preparation of filings pursuant to the Hart-Scott-Rodino Antitrust Improvements Act
  • Representation of a public corporation in negotiating a joint venture agreement for the performance of solid waste collection, transfer, recycling, disposal and secured document destruction services
  • Representation of entrepreneur in the acquisition of a private corporation in the business of contract metal manufacturing and coating
  • Representation of an investor in an Article 9 acquisition of a private corporation in the business of manufacturing sheet metal, duct, pipe and fittings for the HVAC industry
  • Representation of an investor in the sale of his membership interest in a professional baseball team
  • Representation of numerous franchisors in the preparation of franchise disclosure documents for franchises in the yacht membership, retail food, retail clothing, fitness, emergency equipment, and other industries
  • Representation of numerous franchisees in connection with reviewing and negotiating franchise agreements
