D. Brock Denton

Mr. Denton is a partner in the firm's Business Representation & Transactions Group.  He represents both public and closely-held corporations in domestic and international mergers and acquisitions; the formation, organization and capitalization of new business entities; organization of joint ventures; advising franchisors and franchisees regarding franchise matters including the preparation of franchise disclosure documents and federal and state franchise regulatory filings; antitrust matters; regulatory and policy matters affecting domestic and international transactions including the preparation of filings pursuant to the Hart-Scott-Rodino Antitrust Improvements Act; and general advice regarding corporate and business matters.  Mr. Denton also regularly acts in a general counsel capacity to privately held clients who do not have in-house counsel advising senior management on a variety of legal matters. 

Mr. Denton has advised clients such as Cintas Corporation, Kendle International Inc., American Financial Group, The Cincinnati Reds LLC, Great American Insurance Company, LSI Industries Inc., General Cable Corporation, Meridian Bioscience, Inc., Service Corporation International, Belcan Corporation, Modern Ice, Burke & Schindler PLL, Jess Jewelry Designs, Inc., C&CL Ranch LLC, Emergency Veterinary Clinic of Cincinnati, Inc., United Audit Systems, Inc., Freedom Boat Club LLC, Curtis Papers Inc. and Ferno-Washington, Inc.

Mr. Denton is Co-Chair of the firm’s Hiring Committee and formerly served as the Summer Associate Program Coordinator.

Representative Matters

• Representation of public corporation in the acquisition of more than one hundred fifty companies in the industrial uniform rental, first aid and safety, restroom supply, document management and fire protection service industries
• Representation of public corporation in the divestiture of more than fifty funeral homes and cemeteries located throughout the United States
• Representation of public corporation in the acquisition of the Phase II clinical services business of an international corporation
• Representation of a private equity fund in the acquisition of a private corporation that provides customized supply chain management and innovation through providing specialized containers in the food, beverage and retail industries
• Representation of numerous public and private corporations in the preparation of filings pursuant to the Hart-Scott-Rodino Antitrust Improvements Act
• Representation of a public corporation in negotiating a joint venture agreement for the performance of solid waste collection, transfer, recycling, disposal and secured document destruction services
• Representation of numerous public and private corporations in antitrust matters including “gun jumping” and similar antitrust matters affecting domestic and international transactions
• Representation of a private corporation in the divestiture of its specialty paper division
• Representation of a private corporation in the paper industry in the divestiture of three divisions
• Representation of entrepreneur in the acquisition of a private corporation in the business of contract metal manufacturing and coating
• Representation of an investor in an Article 9 acquisition of a private corporation in the business of manufacturing sheet metal, duct, pipe and fittings for the HVAC industry
• Representation of an investor in the sale of his membership interest in a professional baseball team
• Representation of numerous franchisors in the preparation of franchise disclosure documents for franchises in the yacht membership, retail food, retail clothing, fitness, emergency equipment, and other industries
• Representation of numerous franchisees in connection with reviewing and negotiating franchise agreements
• Representation of a private corporation in the sale of its emergency veterinary practice
